Kitchenery Terms of Use and Service

Last updated: October 24, 2026

1. Acceptance, scope and priority

These Terms of Use and Service ("Terms") are between you and Kitchenery Inc., operating as Kitchenery ("Kitchenery," "we," "our," or "us"). They govern kitchenery.us, other Kitchenery-controlled digital properties that link to these Terms, any application that incorporates them, and the communications programs described here (the "Services"). "Kitchenery Parties" means Kitchenery, its affiliates, licensors, service providers, suppliers, successors and assigns, and their respective officers, directors, employees, contractors and authorized agents.

By affirmatively accepting these Terms, creating an account through a process that incorporates them, or using the Services after reasonably conspicuous notice in circumstances that establish assent under applicable law, you agree to these Terms. If you do not agree, do not use the Services. Anyone accepting for an organization represents that they have authority to bind it. Receipt of an unsolicited message or inclusion in a contact list does not, by itself, create a contract.

Our Privacy Policy explains our information practices. Separate purchase, preorder, reservation, warranty, promotion, creator, partner or application terms may apply and control their specific subject where inconsistent with these general Terms. Kickstarter transactions are also governed by the applicable Kickstarter project and platform terms. A marketing-consent choice is distinct from acceptance of these Terms; where separate permission is required, it must be given through the relevant consent process.

Mandatory-law limitation. These Terms operate to the maximum extent permitted by applicable law. They do not exclude a nonwaivable right, mandatory remedy or responsibility that cannot lawfully be limited. In particular, no provision authorizes unlawful marketing, substitutes for required consent, or removes nonexcludable privacy, consumer, warranty or product-safety rights. This limitation applies throughout the Terms.

2. Kitchenery SMS/MMS Program

2.1 Program and enrollment

The Kitchenery SMS/MMS Program is operated by Kitchenery Inc. It sends recurring marketing texts about Kitchenery's cordless kitchen products, product demonstrations and announcements, Kickstarter progress and deadlines, available rewards, promotions and relevant follow-ups. Products may include the Quantum Energy Pad, Perfect Pour Kettle and Cordless Silent Blender. You may reply with questions and receive related assistance.

You enroll through a Kitchenery-authorized method that presents the program disclosures and captures your affirmative consent. Promotional SMS/MMS requires prior express written consent, which may be provided electronically. Messages may be sent using automated technology. Consent is not a condition of purchasing a product or service, backing a project or completing an unrelated inquiry. SMS enrollment is separate from email, calls, WhatsApp and general Terms acceptance. A purchase, inquiry or supplied phone number alone is not enrollment in marketing texts.

You must be at least 18 and be the current subscriber or an authorized regular user of the number provided, with authority to consent to these messages. Provide an accurate number and notify us if it changes or you no longer control it. We may use authorized messaging providers and agents to operate Kitchenery's program. Consent is specific to Kitchenery and the disclosed subject matter; it cannot be bought, sold or transferred from a different sender.

2.2 Frequency and charges

Message frequency varies. Message and data rates may apply. Your carrier's plan, coverage and charges apply.

2.3 Opt-out and help

Reply STOP to unsubscribe. Reply HELP for help. You may also contact power@kitchenery.us. For a request sent outside the text conversation, identify the number involved so we can locate it. Other reasonable withdrawal methods will be recognized as required by applicable law and messaging rules.

After an opt-out, we stop the messages covered by the request and applicable rules. You may receive one final, nonpromotional confirmation. No payment, login, mailed form, notarization or identity document is required to stop marketing texts. Re-enrollment requires a new valid opt-in; a support inquiry is not automatic re-enrollment.

A messaging opt-out does not cancel an order or pledge. Necessary service communications may be delivered through another permitted route. The scope of suppression follows the request and any broader legal or provider requirement; this paragraph does not authorize further texting contrary to an opt-out.

2.4 Delivery, changes and privacy

Delivery depends on networks, carriers and compatible devices and is not guaranteed. Carriers are not liable for delayed or undelivered messages. The program is not an emergency service. Do not text sensitive financial, identification or account-security information.

We may change, suspend or discontinue the program or its sending numbers in our discretion, subject to required notice and consent. A new sending number does not reset your opt-out. We retain permission and suppression records as permitted or required to operate the program and document compliance.

Kitchenery does not sell, share or disclose mobile phone numbers, SMS/MMS opt-in information or messaging consent to third parties or affiliates for marketing or promotional purposes. Operational providers may process information needed to deliver and support Kitchenery's authorized messages on our behalf, not for their own or another client's marketing. Disclosures required by law remain permitted. Our Privacy Policy governs mobile information, and these Terms do not override those restrictions.

3. Email, calls and other communications

Kitchenery and providers acting on its behalf may communicate about inquiries, transactions, products, offers and business opportunities through email, telephone, WhatsApp and other channels where permitted by the applicable consent, law and platform rules. Marketing may be personalized to interests or prior interactions. This section does not create a required consent merely because you accept these Terms.

Unsubscribe from marketing email using the message link or by emailing power@kitchenery.us. For marketing calls, ask the caller to stop or contact us with the relevant number. For WhatsApp, request opt-out in the conversation or contact us. A clearly limited preference is applied to its scope and any broader legal or platform requirement. Independently permitted nonpromotional communications and unrelated channel permissions are not automatically canceled where continuation is lawful.

Where required, automated or prerecorded marketing calls and call recording or transcription require the applicable notice and consent. An inquiry permits an appropriate response within its scope, not an unlimited license for future marketing. Necessary electronic notices may be provided through the contact details you supply or the Services, subject to applicable electronic-delivery requirements.

4. Access, eligibility and account security

You must be at least 18 and have reached the legal age of majority where you reside to create an account, enter a transaction or enroll in our recurring marketing program. You represent that information you supply is accurate, current and complete; you have authority to provide it and use the Services; and your activities and submissions comply with these Terms and applicable law. Do not impersonate another person or enroll someone else's number without authority.

We may rely on information and instructions reasonably appearing to come from you or an authorized account user, subject to applicable law. Keep your contact details current, protect your credentials and notify us promptly of suspected unauthorized access. You are responsible for activity you authorize and for losses caused by your breach of these obligations to the extent permitted by law.

We may refuse registration, restrict access, disable credentials or impose service limits in our sole discretion, with or without notice, except where a notice, remedy or other obligation is required by law or a separate agreement. We are not obligated to offer an account, feature or free service indefinitely.

5. Your content and feedback

"Your Content" means content you submit through the Services, including reviews, comments, photographs, videos, suggestions and other materials. You remain responsible for Your Content and represent that you hold the rights and permissions necessary for the use you authorize, including applicable privacy, publicity, copyright and other rights. You retain ownership subject to the licenses below.

Public and promotional submissions. When you submit content for public display or for a promotional purpose through a submission process that incorporates these Terms, you grant the Kitchenery Parties a nonexclusive, worldwide, fully paid-up, royalty-free, transferable and sublicensable license to use, reproduce, store, publish, distribute, display, perform, edit, adapt and create derivative works from that content in any media, including for advertising, marketing, trade and other commercial purposes connected with Kitchenery and its products. To the extent lawful, the license is perpetual and irrevocable, does not require compensation or further approval, and survives removal of the submission or account closure. Applicable privacy rights and any separate accepted submission terms remain controlling.

To the extent you have authority and have expressly consented through that submission, this license includes the name, image, voice and likeness incorporated in the content for the authorized uses. You waive attribution and moral-rights objections to those uses only to the extent legally waivable. No required publicity or personal-data consent is supplied merely by browsing the website, and no license authorizes a materially misleading endorsement.

Private information and service submissions. The promotional license does not apply to private support conversations, payment details, mobile numbers or messaging-consent records. Those are governed by the Privacy Policy. For other submissions not intended for public or promotional use, you grant the rights reasonably needed to process the submission, provide the relevant service and maintain permitted records.

Ideas and feedback. Unless we separately agree in writing, voluntary product ideas, suggestions and other nonconfidential feedback may be used, developed and commercialized without payment, attribution or confidentiality obligations, subject to applicable law. Do not send confidential inventions or materials without a written agreement governing them.

We may use, edit, decline or remove submitted content in our discretion and are not obligated to publish, maintain or return it, except as law or an agreement requires. Public contributions may be viewed and used by others through the features provided. Nothing here transfers ownership of consumer reviews or prohibits or penalizes honest reviews or other legally protected communications.

6. Community areas and third-party services

User opinions and third-party content are the responsibility of their authors. We do not undertake to verify every submission, identity, statement or external offering. Public areas are not confidential. We may monitor, preserve, disclose, restrict or remove content and account information to administer the Services, enforce agreements, address security or fraud, respond to lawful requests or protect rights, subject to our Privacy Policy and law. We are not obligated to monitor every interaction.

Links, integrations and third-party services are provided for convenience. Their availability, content, transactions and independent practices are governed by their own terms and are not endorsed merely by being linked. To the extent permitted by law, Kitchenery is not responsible for independent third-party conduct outside its control. This does not exclude liability legally assigned to Kitchenery for its own conduct or an agent's actions. We may remove links or integrations in our discretion.

7. Prohibited uses

Use the Services only for lawful, authorized purposes. You must not infringe another person's rights; submit unlawful, fraudulent, threatening or harassing material; exploit minors; impersonate others; falsify identifiers; disclose private information without authority; or use Kitchenery tools or contact information for unauthorized solicitation or spam.

Without our prior written permission, you must not systematically copy, scrape or harvest Services content or personal information; use robots or similar automated means to access restricted content; reproduce or commercially exploit protected materials; reverse engineer, decompile or disassemble protected software; bypass access controls; remove ownership notices; or frame content to imply an unauthorized relationship. These restrictions do not prohibit an activity that applicable law makes nonrestrictable.

You must not introduce malicious code, disrupt or overload systems, attempt unauthorized access, attack the Services, interfere with other users or evade enforcement measures. We may investigate suspected violations, preserve evidence, restrict access and cooperate with lawful enforcement requests. This section does not prohibit lawful criticism, honest reviews, protected reporting or communications with legal advisers or authorities.

8. Intellectual property and linking

Kitchenery, its affiliates and licensors retain all rights in the Services and their software, designs, text, images, trademarks, logos, trade dress, compilations and other protected materials, excluding rights belonging to users or other identified owners. Subject to these Terms, you receive only a limited, revocable, nonexclusive, nontransferable right to use the Services for their intended purposes. Rights not expressly granted are reserved.

You may not reproduce, modify, distribute, publish, display, sell or create derivative works from protected materials except as expressly authorized or permitted by law. Use of Kitchenery marks must not imply unauthorized endorsement, ownership, affiliation or approval. Commercial uses require permission unless an applicable license or law permits them.

You may share accurate links to our public product, campaign and information pages without misleading framing or bypassing access restrictions. We may withdraw permission for uses that violate these Terms and may disable linking or social features. Approved affiliates and creators remain subject to their separate licenses, brand permissions and advertising-disclosure obligations.

9. Copyright complaints

Send copyright concerns to power@kitchenery.us. Identify the copyrighted work, the material and location at issue, your contact details, and your authority to act. Include a physical or electronic signature; a good-faith statement that the disputed use is not authorized by the rights holder, its agent or law; and the required statement of accuracy and authority under penalty of perjury.

Incomplete notices may prevent us from locating or evaluating a complaint. Knowingly false notices may create legal liability. We may investigate and act on notices and preserve applicable response, counter-notice and restoration rights. This contact information does not represent that a statutory safe harbor applies in every circumstance.

10. Information, products, reservations and crowdfunding

General website content is provided for informational purposes and may contain errors, omissions or outdated information. We may correct content, prices, descriptions and availability, or update or withdraw an offer, subject to an accepted transaction and mandatory law. We do not undertake to update every historical statement or guarantee that general information meets a particular user's needs.

Product demonstrations, prototypes, development schedules, estimates and proposed features may change. Forward-looking statements reflect expectations and assumptions when made and are not guarantees of future performance. They involve uncertainties, including development, supply, certification and logistics. No general disclaimer overrides a binding express promise, required disclosure or mandatory remedy.

A reservation, preorder, sale or Kickstarter pledge is governed by the terms presented for that transaction, including applicable payment, delivery, cancellation, return and warranty terms. These website Terms do not create an additional refund guarantee or replace a product warranty. They also do not eliminate obligations arising from an accepted transaction, crowdfunding terms or applicable shipping-delay and refund requirements.

The Quantum Energy Pad is the shared power surface for compatible Kitchenery appliances and connects to an appropriate power source. Follow applicable instructions, compatibility information and warnings. The word "cordless" does not mean every component operates without a wall connection. Kitchenery is not responsible for harm caused by unauthorized modification, misuse or use contrary to instructions to the extent law permits that allocation; this does not exclude non-limitable defective-product liability.

Ordinary website, product and crowdfunding communications are not an offer to buy or sell securities, investment advice or a guarantee of financial returns. An employee, salesperson, affiliate or contractor may amend binding transaction terms, grant an additional warranty or make another commitment on Kitchenery's behalf only within their authority. This does not limit a representation, warranty or other obligation that applicable law makes binding on Kitchenery. A separate authorized written agreement controls its subject.

11. Changes, availability and termination

We may modify, limit, suspend or discontinue the Services, free features, content and access in our sole discretion, with or without notice, subject to applicable law and existing contractual obligations. We may terminate access for breach, risk, inactivity or other business reasons. We do not promise an opportunity to cure unless law or an applicable agreement requires it. To the extent permitted by law, we are not liable solely because a free service or feature is unavailable or discontinued.

You may stop using the Services. Following termination, permissions dependent on access cease, while provisions intended to survive continue, including applicable content licenses, intellectual-property rights, disclaimers, indemnities, limitations and dispute terms. Termination does not itself discharge accrued payment obligations or mandatory fulfillment, refund, recordkeeping or privacy duties.

We are not responsible, to the extent permitted by law, for a failure or delay caused by events beyond our reasonable control, such as natural disasters, public emergencies, war, labor disruption, network or carrier failure, or governmental restrictions. This provision applies only to the affected performance and does not waive a nonwaivable remedy or automatically excuse every obligation relating to a product transaction.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE GENERAL ONLINE SERVICES AND THEIR CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." THE KITCHENERY PARTIES DISCLAIM EXPRESS, IMPLIED AND STATUTORY WARRANTIES RELATING TO THOSE SERVICES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT, EXCEPT FOR AN EXPRESS UNDERTAKING THAT CANNOT LAWFULLY BE DISCLAIMED.

We do not warrant uninterrupted operation, completeness, security, accuracy, error-free content, freedom from harmful code, correction of every defect, or compatibility with every device or service. You are responsible for reasonable device security, backups and precautions appropriate to your use.

This disclaimer concerns the general online Services. Written product warranties, separately agreed transaction terms and nonexcludable guarantees remain governed by their own terms and applicable law. No statement here disclaims an implied product warranty where a written warranty or applicable law prevents that disclaimer.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE KITCHENERY PARTIES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR ANTICIPATED SAVINGS ARISING FROM THE SERVICES, THEIR CONTENT, RELATED COMMUNICATIONS OR THESE TERMS, UNDER CONTRACT, TORT (INCLUDING ORDINARY NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED THAT SUCH LOSS WAS POSSIBLE.

WHERE LIABILITY REMAINS, THE COMBINED AGGREGATE LIABILITY OF THE KITCHENERY PARTIES FOR CLAIMS CONCERNING THE GENERAL ONLINE SERVICES OR RELATED COMMUNICATIONS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID KITCHENERY SPECIFICALLY FOR THE ONLINE SERVICE GIVING RISE TO THE CLAIM DURING THE PRECEDING 12 MONTHS. Multiple claims or defendants do not multiply this aggregate cap. Separate sale, warranty or other transaction terms govern liabilities allocated by those agreements; this cap does not cap a product refund or a crowdfunding fulfillment obligation.

The exclusions and cap do not apply to fraud, willful misconduct, gross negligence, or any personal-injury, defective-product, statutory or other liability to the extent it cannot lawfully be excluded or limited. They do not waive a nonwaivable privacy, messaging, do-not-call, anti-spam or consumer remedy. Where an exclusion is not allowed, it applies only to the permitted extent. The Kitchenery Parties are intended beneficiaries of protections expressly afforded to them, within those protections' lawful scope.

14. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless the Kitchenery Parties against third-party claims, liabilities, damages, judgments, settlements, costs and reasonable attorneys' fees arising from your breach of these Terms, unlawful or unauthorized use of the Services, infringement or violation of another person's rights through Your Content, or material misrepresentation about your authority to provide content, account access or contact information.

Kitchenery may assume control of the defense of an indemnified matter, at your expense to the extent covered by this indemnity, and you will reasonably cooperate. You may not settle a covered claim in a manner that binds a Kitchenery Party without that party's written consent. This indemnity does not shift liability for a Kitchenery Party's own negligence, misconduct or unlawful marketing to you, penalize an honest review or good-faith rights request, or impose an obligation prohibited by applicable consumer law.

15. Binding arbitration and class-action waiver

15.1 Scope and informal notice

Except as stated below, you and Kitchenery agree to resolve disputes arising from these Terms, the online Services or related communications by binding individual arbitration rather than a jury trial, where this agreement is validly accepted and enforceable. Covered disputes may include related contract, tort, privacy and communications claims to the extent lawfully arbitrable. Possession of your contact information or your marketing-consent choice alone does not establish acceptance of this arbitration agreement.

Before commencing arbitration, the claimant must send a written notice describing the dispute and requested relief, with their name and contact information, to the other party. Notices to Kitchenery go to power@kitchenery.us or the address in Section 18, marked "Notice of Dispute." Both parties will allow 30 days after receipt to attempt informal resolution, unless urgent relief or a legal deadline requires earlier action. The limitation period for the notified claim is tolled during that interval to the extent permitted by law. This process is not a prerequisite to a regulatory complaint or another nonwaivable procedure.

A standalone appliance-purchase, preorder, warranty or product-liability dispute unrelated to these online Services is not brought within this clause solely by this section. Separately agreed transaction terms and mandatory law govern such a dispute. This clause does not override applicable Kickstarter dispute terms.

15.2 Administrator, authority and procedure

The Federal Arbitration Act governs this agreement where applicable. The American Arbitration Association (AAA) will administer arbitration before one arbitrator under its applicable Consumer Arbitration Rules for consumer disputes and applicable Commercial Arbitration Rules for genuinely commercial disputes, including applicable supplementary rules. Rules and filing information are available at https://www.adr.org/. A demand must be filed and served under the governing rules.

Except for questions a court must decide, including whether an arbitration agreement was formed and the enforceability of the class-action waiver, the arbitrator has authority to decide disputes about the interpretation, scope, applicability and enforceability of this arbitration agreement. The applicable rules and mandatory due-process requirements govern hearings, location, remote participation, fees and available remedies. Consumer proceedings will not require travel or payment inconsistent with those requirements.

Each party bears the fees and costs assigned to it under the applicable rules and law. Kitchenery does not promise blanket reimbursement of every claimant's filing fee. The arbitrator may award fees or costs only as authorized by the applicable rules, law or an enforceable agreement. The arbitrator may award the individual relief available under applicable law and will issue the decision required by the governing rules. Judgment may be entered in a court with jurisdiction.

15.3 Individual proceedings and exceptions

YOU AND KITCHENERY WAIVE A JURY TRIAL FOR DISPUTES SUBJECT TO ENFORCEABLE ARBITRATION AND AGREE THAT ARBITRATION WILL PROCEED INDIVIDUALLY, NOT AS A CLASS, COLLECTIVE, REPRESENTATIVE OR CONSOLIDATED PROCEEDING, TO THE EXTENT PERMITTED BY LAW. No class arbitration is authorized without a separate agreement in writing after the dispute arises. Applicable rules for coordinated administration do not, by themselves, authorize a class arbitration or eliminate individual remedies.

Either party may bring an eligible individual claim in small-claims court or seek appropriate interim court relief to protect intellectual property or preserve rights pending arbitration. Regulatory matters, legally nonarbitrable claims and nonwaivable public-injunctive-relief rights are not restricted.

If a class or representative waiver is unenforceable for a particular claim or remedy, that portion proceeds in court as required, while severable enforceable arbitration duties remain. If AAA declines or ceases administration in circumstances where its rules permit a court proceeding, either party may proceed in a court of competent jurisdiction unless the parties validly agree to another administrator. Mandatory remedies and rules prevail over an inconsistent procedural requirement.

15.4 Arbitration opt-out and changes

You may reject the arbitration agreement in this Section 15 by sending a written notice within 30 days after you first agree to arbitrate disputes with Kitchenery concerning these Services. If you are already subject to an arbitration agreement covering these Services and its initial opt-out period has expired, accepting an update to these Terms does not restart that initial period. Any unexpired opt-out period and any effective opt-out under an earlier version remain governed by that version.

Email your notice to power@kitchenery.us, or mail it to the address in Section 18 marked "Arbitration Opt-Out" or "Arbitration Change Rejection," as applicable. An emailed notice must be sent within the applicable 30-day period; a mailed notice must be postmarked within that period. The notice must identify the person giving notice, provide their full name, mailing address and email address used with Kitchenery, if any, clearly state that they reject arbitration or the identified changes, and include their signature. An electronic signature, including a typed name intended as a signature, is acceptable. An authorized representative may submit the notice with the individual's signed authorization. No notarization, fee or explanation is required.

If we change this arbitration agreement after you first accepted it, you may reject those changes by sending a notice under this section within 30 days after the later of the effective date of the changes or the date you receive adequate notice of them. A timely rejection leaves the last applicable arbitration agreement in effect under its prior terms. Any notice, acceptance or rejection right required by applicable law or an earlier agreement also applies. A change will not apply to a dispute already pending when the change takes effect unless the parties validly agree.

An effective initial opt-out leaves the other Terms in place and does not invalidate a separate, binding arbitration agreement. An effective opt-out under earlier terms is not reversed solely by continued use of the Services after an update; a new agreement to arbitrate after that opt-out must be affirmatively accepted. This procedure applies only to arbitration. It does not apply to SMS, email, telephone or WhatsApp marketing opt-outs or statutory privacy requests.

16. Governing law, court venue and claim periods

Florida law governs these Terms without regard to conflict-of-law principles, except where the Federal Arbitration Act or another mandatory law controls. For disputes not subject to enforceable arbitration, the parties consent to the state courts in Hillsborough County, Florida, or the appropriate federal court in the Middle District of Florida, unless mandatory law requires another available forum.

A consumer's nonwaivable rights under the law of their habitual residence are not displaced. Arbitration, jurisdiction, disclaimers and other restrictions apply to non-U.S. users only where valid under the applicable law. Services, products and marketing programs may be restricted by location, export rules, sanctions, certification or platform requirements.

Claims remain subject to applicable limitation periods. These Terms do not impose a shorter contractual filing period where Florida law or other applicable law prohibits it.

17. Changes and general provisions

We may revise these Terms by posting the revised version and date. Changes apply prospectively. Continued use after adequate notice constitutes acceptance to the extent permitted by law; where affirmative acceptance or additional notice is required, that requirement applies. Updates do not retroactively create marketing consent or eliminate accrued nonwaivable rights. Section 15 governs material arbitration changes.

Failure to enforce a term is not a continuing waiver. If a term is invalid or unenforceable, it is limited or severed to the minimum extent needed while the remainder continues, subject to Section 15. You may not assign contractual rights or duties without our written consent except as law permits. We may assign these Terms and associated rights in a lawful reorganization or transfer, without reducing nonwaivable rights or treating messaging consent as a transferable asset.

Subject to Section 15.4 and applicable law, these Terms and specifically incorporated agreements are the entire agreement for their covered subject, replacing prior understandings on that subject, but not a separate transaction or signed agreement that continues to govern its own subject. No general statement creates a partnership, employment or agency relationship with a user. The Kitchenery Parties may enforce provisions expressly benefiting them; no other third-party beneficiary is intended.
